Welcome to BluWavs. By accessing or using our website, portal, services, or any related applications (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services.

1. Acceptance of Terms

By creating an account or using any BluWavs service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

2. Description of Services

BluWavs provides business management tools, funding readiness preparation, document organization, automation systems, and related services. We are NOT a lender, financial advisor, legal firm, or licensed professional service provider. Our services are educational and operational in nature.

3. User Accounts

You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

4. Acceptable Use

You may NOT use our Services to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful code, malware, or viruses
  • Engage in fraudulent or deceptive activities

5. Payments & Billing

All payments are processed securely through Stripe. By making a purchase, you agree to:

  • Provide accurate billing information
  • Pay all charges at the prices in effect when incurred
  • Pay any applicable taxes

6. Intellectual Property

All content, software, templates, guides, systems, branding, and materials on BluWavs are owned by BluWavs LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, sell, or create derivative works without express written permission.

7. AI Tools & Automated Services

BluWavs uses artificial intelligence to provide certain services, including our Business Concierge chatbot. You acknowledge that:

  • AI-generated content is informational and educational only
  • AI outputs do NOT constitute legal, financial, tax, or professional advice
  • You are responsible for reviewing all AI-generated materials before use
  • You should consult qualified professionals for specific guidance

8. Third-Party Funding Services

BluWavs partners with third-party funding providers including rok_financials and Nexa Lending. You acknowledge that:

  • BluWavs is NOT a lender and does NOT make lending decisions
  • All funding decisions are made solely by third-party lenders
  • We do NOT guarantee funding approval, amounts, or terms
  • You consent to data sharing with funding partners when you apply

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLUWAVS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO BLUWAVS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless BluWavs LLC and its affiliates from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. You may cancel your account at any time through your portal settings. Upon termination, your right to use the Services ceases immediately.

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in Sheridan County, Wyoming, in accordance with the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to conflict of law principles.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or notice on our website. Continued use of the Services after changes constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
